This Software License Agreement ("Agreement") is between Mannix Squared ("we", "us", or "our") and the person or organisation that downloads, installs, copies, or uses any Mannix² audio plugin, installer, preset, documentation, or related software component ("you"). By downloading, installing, or using the Software, you agree to this Agreement. If you do not agree, do not use the Software.
1. Definitions
"Software" means Mannix² audio plugins, applications, installers, presets, documentation, updates, and related files supplied by us, including AU, VST3, and other plugin formats. "Device" means a computer, workstation, or other system on which the Software is installed or used.
2. License Grant
Subject to this Agreement, we grant you a personal, limited, non-exclusive, non-transferable, revocable license to install and use the Software for lawful music production, audio production, testing, education, and related creative work.
Unless separate written terms say otherwise, you may use the Software in commercial and non-commercial audio projects. You own your recordings, mixes, masters, presets you create from scratch, and other creative output made using the Software.
3. Free Software
Some Software may be provided free of charge. Free availability does not make the Software open source, public domain, or royalty-free for redistribution. All rights not expressly granted in this Agreement are reserved by us.
4. Restrictions
You must not, except where applicable law expressly allows:
- copy, distribute, sell, rent, lease, sublicense, host, or make the Software available to others;
- modify, adapt, translate, merge, port, or create derivative works based on the Software;
- reverse engineer, decompile, disassemble, inspect, or attempt to derive source code, algorithms, or internal structure from the Software;
- remove, obscure, or alter copyright notices, trademarks, attribution, license information, or other proprietary notices;
- circumvent technical protection, licensing, telemetry, security, update, or access-control mechanisms;
- use the Software to develop a competing plugin or product by copying its interface, sound design, code, structure, presets, or behaviour;
- use the Software in a way that violates applicable law or infringes another person’s rights.
5. Redistribution
You may not redistribute the Software, installers, plugin binaries, or bundled files without our prior written permission. If you want to share the Software, link to the official Mannix² download page instead of hosting your own copy.
6. Ownership
The Software is licensed, not sold. We and our licensors retain all rights, title, and interest in the Software, including copyright, trade marks, design rights, know-how, and other intellectual property rights.
7. Third-Party Components
The Software may include or be built using third-party libraries, frameworks, SDKs, or components, including JUCE and platform SDKs. Those components remain subject to their own license terms. This Agreement does not grant you rights to third-party components beyond those terms.
8. Updates And Changes
We may provide updates, fixes, replacements, or new versions at our discretion. Updates may change, add, or remove features. This Agreement applies to all updates unless we provide different terms with a particular update.
9. Support
We may provide support, documentation, or compatibility information at our discretion, but we are not required to provide maintenance, updates, fixes, feature changes, or support for any particular operating system, plugin host, hardware configuration, or third-party product.
10. No Warranty
The Software is provided "as is" and "as available". To the maximum extent permitted by law, we disclaim all warranties, conditions, and representations, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, non-infringement, compatibility, accuracy, availability, and error-free operation.
You are responsible for backing up sessions, presets, audio files, and systems before installing or using the Software.
11. Limitation Of Liability
To the maximum extent permitted by law, we will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, loss of profits, loss of revenue, loss of data, loss of audio work, loss of business, business interruption, or cost of substitute goods or services arising from or related to the Software.
Nothing in this Agreement limits liability that cannot legally be limited, including liability for death or personal injury caused by negligence, fraud, or fraudulent misrepresentation.
12. Termination
This Agreement remains in effect until terminated. Your rights under this Agreement end automatically if you breach it. After termination, you must stop using the Software and delete all copies in your possession or control.
13. Export And Compliance
You must comply with applicable export control, sanctions, and other laws when downloading, installing, or using the Software.
14. Governing Law
This Agreement is governed by the laws of England and Wales, without regard to conflict of law rules. The courts of England and Wales will have jurisdiction over disputes arising from or related to this Agreement, except where applicable consumer law gives you mandatory rights in another jurisdiction.
